Merger
All proposals, quotations, negotiations, and representations, if any, regarding this transaction and made prior to the date of the invoice are merged herein.
Prices
All prices, whether herein named or heretofore quoted for proposed, shall be adjusted to Rapid Packaging prices in effect at the time of shipment.
Terms of Payment
Rapid Packaging payment terms for this invoice are as stated on the verse side hereof. We accept all major credit cards including Visa, Mastercard, American Express, & Discover. A cash discount shall not be allowed on any transportation charges included in delivered prices.
Risk of Loss
Unless otherwise noted on the front side of this invoiced, delivery terms are F.O.B. at Rapid Packaging’s plant in Minneapolis. Dates of delivery stated herein are estimates only, not a guarantee of particular day of delivery. Rapid Packaging shall not be liable for failure or delay in shipping goods hereunder if such failure or delay is due to act of God, war, labor difficulties, accident, inability to obtain containers or raw materials, or any other causes of any kind whatever beyond the control of Rapid Packaging. In any event, Rapid Packaging will not be liable for any consequential damages, loss or expense arising in connection with a failure or delay in shipping goods.
Taxes
Any tax imposed by federal, state, or other governmental authority on the sale of the merchandise and service referred to in this Invoice shall be paid by Buyer in addition to the quoted purchase price.
Inspection
The Buyer may inspect, or provide for inspection, at Rapid Packaging’s plant. Such inspection shall be so conducted as not to interfere unreasonable with the manufacturer’s operations, and consequent approval or rejection shall be made before shipment of the material. Notwithstanding the foregoing, if, upon receipt of such material of the Buyer, the same shall appear not to conform to the contract between the Buyer and Rapid Packaging’s, the Buyer shall immediately notify Rapid Packaging of such condition and afford Rapid Packaging a reasonable opportunity to inspect the material. No material shall be returned without Rapid Packaging’s consent.

Free Shipping:Free shipping is included with all orders within the continental United States. Additional fees will apply for shipments to Alaska and Hawaii. Our free shipping service is typically shipped through FedEx OR via LTL Freight. Customers typically receive their order in 3-5 business days. Next Day Shipping: With our next day shipping option, your order is typically shipped through FedEx or LTL freight. Exclusion of Warranties
Except for the warranty that the goods are made in a workman like manner and in accordance with the specifications therefore supplied or agreed by Buyer and are made or packaged pursuant to Rapid Packaging’s customary manufacturing procedures, Rapid Packaging makes no other warranty, express or implied; AND ANY IMPLIED WARRANTY OF MERCHANTABILITY OR PACKAGING FOR A PARTICULAR PURPOSE WHICH EXCEEDS THE FOREGOING WARRANTY IS HEREBY DISCLAIMED BY RAPID PACKAGING AND EXCLUDED FROM IT’S ACCEPTANCE HEREIN OF BUYERS ORDER. Rapid Packaging will not be liable for any consequential damages, loss, or expenses arising in connection with the use of or the inability to use its goods for any purpose whatever. Rapid Packaging’s maximum liability shall not in any case exceed the contract price for the goods claimed to be defective or unsuitable.
Permissible Variations, Standards and Tolerances
Except in the particulars specified by Buyer and expressly agreed herein by Rapid Packaging, all material shall be produced in accordance with Rapid Packaging’s standard practices. All material, including that produced to meet an exact specification, shall be subject to tolerances and variations consistent with usages of the trade and regular mill practices concerning: dimension, weight , straightness, section, composition and mechanical properties: normal variations in surface, internal conditions and quality; deviations from tolerances and variations consistent with practical testing and inspection methods: and regular mill practices concerning over and under shipments.
Patents
Buyer shall in respect of goods packaged by Rapid Packaging in accordance with designs, processes or formulas supplied, determined or requested by Buyer pursuant to this Invoice, defend Rapid Packaging at Buyers expense and pay costs and damages, including with limitation to reasonable attorney fees, incurred and/or paid by Rapid Packaging in any suit brought against for infringement of any letters patient by reason of use such as designs, processes or formulas, provided Rapid Packaging promptly notifies Buyer in writing of any claim of or suite for infringement and tenders defense thereof to Buyer. Rapid Packaging is entitled to be represented in any suite at its own expense.
Non-Waiver by Rapid Packaging
Waiver by Rapid Packaging of a breach of any of the terms and conditions of this Invoice shall not be construed as a waiver of any other breach.
